Introduction

These Terms and Conditions shall govern the Customer's (hereinafter: Customer/User) use of the RouteInspector website (hereinafter: Service).

These Terms and Conditions apply exclusively to the Business User, and you must be a Business User to use this website. For the purpose of these Terms and Conditions, Business Users are those who act in a business capacity. By using this website, and by agreeing to these Terms and Conditions you warrant and represent that you have the full right, power and authority to enter into these Terms and Conditions.

By using the Service, you accept these Terms and Conditions in full.

If you disagree with these Terms and Conditions or any part hereof, you may not use the Service.

About the website Terms and Conditions

The Service on this website is provided to you under these Terms and Conditions created by Informatika Projekt L.t.d., Croatia, Zagreb, V.Varicaka 7. (hereinafter: Provider)

License to use the website

The Provider shall give you access to the Provider's Service only after you have completed the sign-up process on this website providing all information necessary for completing the sign-up process.

The Provider shall retain all the rights and title to and interest in the Service, including, but not limited to, all software used for providing the Service and all logos and trademarks reproduced through the Service, and these Terms and Conditions shall not grant you any intellectual property rights in or to the Service or any of its components.

Trial period

For the purpose of testing the Service, the User, after completing the sign-up process, shall be granted temporary, trial use of the Service, whereat some of the Service’s functionalities might be limited. After the expiry of the trial period, the User shall not be entitled to use the Service. The Provider may, without any special obligation, provide the User with access to certain Service functionalities.

Payment

By paying the Provider according to the valid price list, the User shall gain the right to temporarily access all the functionalities of the Service. The User shall be deprived of that right at the moment of the expiry of the period the User had paid for.

The Provider shall notify the User on the upcoming expiry of the rights by electronic means, so that the User might make a timely payment for the next period.

Considering the possibility of a delay in the transfer of the funds in international traffic between banks and for other reasons, the Provider shall retain the right to process data within 5 working days from the moment of payment.

Acceptable use

You may not use this Service in any way that would or might cause damage to the Service or impairment of the availability or accessibility of the Service; or in any way which is unlawful, illegal, fraudulent or harmful, or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity.

You may not use this Service to copy, store, host, transmit, send, use, publish or distribute any material which consists of (or is linked to) any spyware, computer virus, Trojan horse, worm, keystroke logger, rootkit or other malicious computer software.

You may not conduct any systematic or automated data collection activities (including, but not limited to, scraping, data mining, data extraction and data harvesting) on or in relation to this website without the Provider’s express written consent.

Restricted access

Access to certain areas of this website is restricted. The Provider reserves the right to restrict access to some areas of this website, or even the entire website, at the Provider's sole discretion.

If the Provider provides you with a user ID and password to enable you to access any restricted areas of this website or other content or services, you shall ensure that the user ID and password are kept in confidentiality.

The Provider may disable your user ID and password at the Provider's sole discretion without notice or explanation.

Privacy policy

For the purpose of these Terms and Conditions, “your user content” means any information and/or material that you submit to this website, for whatever purpose.

Your user content must not be illegal or unlawful, must not infringe any third party's legal rights, and must not be capable of giving rise to legal action whether against you or the Provider or a third party (in each case under any applicable law).

You may not submit any user content to the website that is or has ever been the subject of any threatened or actual legal proceedings or other similar complaint.

The Provider reserves the right to edit or remove any material submitted to this website, or stored in the Provider's servers, or hosted or published on this website.

Notwithstanding the Provider's rights under these Terms and Conditions in relation to user content, the Provider does not undertake to monitor the submission of such content to, or the publication of such content on, this website.

All user content shall be subject to the Privacy Policy agreement. In case of any discrepancy between these Terms and Conditions and the Privacy Policy agreement regarding user content, the provisions of the Privacy Policy agreement shall prevail.

No warranties

The Service is provided “as is” without any representations or warranties, express or implied including, but not limited to, any implied warranties of merchantability, fitness for a particular purpose, or non-infringement of intellectual property rights.

The Provider shall not warrant that:

  • The Service on this website will be constantly available, or available at all; or
  • the information on this website is complete, true, accurate or non-misleading.

The Provider shall use its best efforts to ensure the availability of the Service.

Limitations of liability

The Provider shall not be liable to you under the law of contract, in relation to the contents or use of or otherwise in connection with this Service:

  • for any indirect, special or consequential loss; or
  • for any business loss, loss of revenue, income, profits or anticipated savings, loss of contracts or business relationships, loss of reputation or goodwill and/or similar losses, or loss or corruption of information or data, or pure economic loss, or for any special, indirect or consequential loss, costs, damages, charges or expenses arising from this agreement in any manner whatsoever.

These limitations of liability shall apply even if the Provider has been expressly advised of the potential loss.

Reasonableness

By using this Service, you agree that the exclusions and limitations of liability set out in this website disclaimer are reasonable.

If you do not think they are reasonable, you must not use this website.

Other parties

You accept that, as a limited liability entity, the Provider has an interest in limiting the personal liability of its officers and employees. You agree that you shall not bring any claim personally against the Provider's officers or employees in respect of any losses you might suffer in connection with the website.

Without prejudice to the foregoing paragraph, you agree that the limitations of warranties and liability set out in this website disclaimer shall protect the Provider's officers, employees, agents, subsidiaries, successors, assignees and sub-contractors as well as the Provider.

Unenforceable provisions

If any provision of this website disclaimer is, or is found to be, unenforceable under any applicable law, that shall not affect the enforceability of the other provisions of this website disclaimer.

Indemnity

You hereby indemnify the Provider and undertake to keep the Provider indemnified against any losses, damages, costs, liabilities and expenses (including, but not limited to, any legal expenses and any amounts paid by the Provider to a third party in settlement of a claim or dispute at the advice of the Provider's legal advisers) incurred or suffered by the Provider arising out of any breach by you of any provision of these Terms and Conditions, and/or arising out of any claim of your breach of any provision of these Terms and Conditions.

Breaches of these Terms and Conditions

Without prejudice to the Provider's other rights under these Terms and Conditions, if you breach these Terms and Conditions in any way, the Provider may take such action as the Provider deems appropriate to deal with the breach, including suspending your access to the website, prohibiting you from accessing the Service, blocking the computers using your IP address from accessing the website, contacting your internet service provider to request that they block your access to the website and/or bringing court proceedings against you.

Term & Termination

The Provider has the absolute discretion to modify, restrict, suspend, or discontinue (in whole or in part) the User Account, whether in respect of a Service or otherwise, at any time without giving any reason thereto and without any liability whatsoever.

The Provider shall have the right to terminate the User Account, within a reasonable time after you have discontinued all Services with the Service Provider and settled all payment obligations.

Variation

The Provider may revise these Terms and Conditions from time-to-time. The revised Terms and Conditions shall apply to the use of this website from the date of the publication of the revised Terms and Conditions on this website. Please check this page regularly to make sure you are familiar with the current version.

Assignment

The Provider may transfer, sub-contract or otherwise deal with the Provider's rights and/or obligations under these Terms and Conditions without notifying you or obtaining your consent.

You may not transfer, sub-contract or otherwise deal with your rights and/or obligations under these Terms and Conditions.

Severability

Should any provision of these Terms and Conditions be determined unlawful and/or unenforceable by any court or other competent authority, the other provisions shall remain in effect. Should any unlawful and/or unenforceable provision be lawful or enforceable if part of it were deleted, that part shall be deemed to be deleted, and the rest of the provision shall remain in effect.

Entire agreement

These Terms and Conditions, together with the Privacy Policy agreement, constitute the entire agreement between you and the Provider in relation to your use of this website, and supersede all previous agreements in respect of your use of this website.

Law and jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the governing law of the Republic of Croatia, and any disputes related to these Terms and Conditions shall be under the exclusive jurisdiction of the courts of Zagreb, Croatia.
